These Terms of Service (“Terms”) govern your access to and use of the Sahoda Labs website at www.sahodalabs.com, the Sahoda Labs application, and all related applications, tools, integrations and services (together, the “Platform”). The Platform is operated by ALTRUIX DIGITAL PRIVATE LIMITED, having its registered office at B-36, 1st Floor, Sector-10, Noida, Uttar Pradesh – 201301, India. Sahoda Labs is a brand operated by ALTRUIX DIGITAL PRIVATE LIMITED, the legal entity responsible for providing and operating the Platform (“Sahoda Labs”, “we”, “us” or “our”).

By creating an account, subscribing to a plan, or otherwise using the Platform, you confirm that you have read and agree to be bound by these Terms, our Privacy Policy, AI Terms, Cookie Policy and Refund & Cancellation Policy. If you do not agree, you must not use the Platform. These Terms constitute an electronic record under the Information Technology Act, 2000.

1. Eligibility and Account Registration

The Platform is intended for businesses and business owners. You may use the Platform only if you are at least 18 years of age and competent to contract under the Indian Contract Act, 1872. If you register on behalf of an entity, you represent that you are authorised to bind that entity. You agree to provide true, accurate and current information at registration and are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

We may refuse, suspend or terminate an account where we reasonably believe the registration information is false, the account is being used in breach of these Terms, or continued access presents a security, legal or reputational risk.

2. Description of the Platform

Sahoda Labs is an artificial-intelligence-assisted marketing platform. Depending on your subscription plan, the Platform may provide brand profiling, content generation, website generation, image and creative generation, campaign planning, an AI assistant, analytics, and connections to third-party social media, advertising and analytics platforms.

The Platform is provided on a software-as-a-service basis. Features vary by plan, and we may add, modify, suspend or discontinue features. Certain features may be released as beta, preview or experimental and are provided on an “as is” basis.

3. Subscription Plans, Credits and Fees

Subscription plans, inclusions and prices are published on our pricing page. All prices are quoted in Indian Rupees (INR) unless stated otherwise and are exclusive of GST and any other applicable taxes. Use of AI features consumes credits allocated to your plan. Credits have no independent monetary value, are not redeemable for cash, and cannot be transferred between accounts except within an Agency workspace where expressly permitted.

Subscriptions renew automatically at the end of each billing cycle at the then-current price, unless cancelled before the renewal date. Payments are processed by Cashfree Payments, a third-party payment aggregator authorised by the Reserve Bank of India. We do not store full card numbers or payment credentials on our systems. Sahoda Labs operates a no-refund policy for subscription fees and credit purchases, subject only to the limited exceptions set out in our Refund & Cancellation Policy.

4. Your Content and Licence to Us

“Your Content” means all material you upload, submit or connect to the Platform, together with the outputs generated from it. You retain ownership of Your Content. You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, adapt, transmit and display Your Content solely to the extent necessary to operate and provide the Platform to you.

We do not train AI models on your business data. We do not use Your Content to train our own or any third party’s machine learning models, and we contract with our AI providers on terms that prohibit them from doing so. We will not publicly identify you as a customer without your prior written consent.

5. Our Intellectual Property

The Platform, including its software, source code, architecture, models, prompts, templates, design, interfaces and documentation, is owned by Sahoda Labs and its licensors and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999 and other applicable laws. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your own internal business purposes.

6. Acceptable Use

You must not, and must not permit any person to:

• Copy, modify, reverse engineer, decompile or create derivative works of the Platform, except where such restriction is prohibited by law.

• Resell, sublicense, rent, lease or otherwise commercially exploit the Platform, except as expressly permitted under an Agency plan.

• Use automated means such as scrapers, crawlers or bots to extract data other than through interfaces we expressly provide.

• Use the Platform to generate or distribute content that is unlawful, defamatory, obscene, misleading, harassing, hateful, or that infringes any third-party right.

• Use the Platform or its outputs to develop, train or improve any competing artificial intelligence model or marketing automation product.

• Interfere with, overload or attempt to gain unauthorised access to the Platform, its infrastructure, or any other user’s account or data.

7. Connected Third-Party Accounts and Services

The Platform allows you to connect third-party accounts, which may include Meta, Google, LinkedIn, X, YouTube, WhatsApp Business, WordPress, Shopify and analytics or advertising platforms. By connecting an account, you confirm you are authorised to do so. We are not responsible for the availability, performance, policy changes, suspension or termination of any Connected Account. You may disconnect a Connected Account at any time from your account settings.

8. AI-Generated Output

The Platform generates output using artificial intelligence. AI output may be inaccurate, incomplete, outdated, or unsuitable for your specific circumstances. You are solely responsible for reviewing, verifying and approving all output before publication or use. Any predictive, scoring or simulation feature provides an estimate only and is not a guarantee of performance, reach, engagement, ranking, conversion or revenue. Output does not constitute legal, financial, medical, tax or professional advice.

9. Service Availability

We aim to keep the Platform available at all times but do not warrant uninterrupted or error-free operation. Access may be interrupted for scheduled or emergency maintenance, or factors outside our reasonable control. Downtime caused by a third-party service, including AI model providers, hosting providers, payment processors and Connected Accounts, is excluded from any availability commitment.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Platform is provided on an “as is” and “as available” basis. We disclaim all warranties, conditions and representations of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Nothing in these Terms excludes any liability that cannot lawfully be excluded.

11. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, goodwill, business opportunity, anticipated savings or data. Our total aggregate liability shall not exceed the total subscription fees actually paid by you to Sahoda Labs in the three (3) months immediately preceding the event giving rise to the claim. These limitations do not apply to liability arising from fraud or that cannot be limited under applicable Indian law.

12. Indemnity

You agree to indemnify and hold harmless Sahoda Labs, its directors, officers, employees and agents from and against any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of or in connection with Your Content, your use of the Platform or of any output, your breach of these Terms, your violation of any applicable law, or your infringement of any third-party right.

13. Term, Suspension and Termination

These Terms apply from the date you first access the Platform and continue until terminated. You may cancel your subscription at any time from your account settings; access continues until the end of the paid period. We may suspend or terminate your access immediately where you materially breach these Terms, or terminate for convenience on thirty (30) days’ written notice. On termination, we will retain Your Content for ninety (90) days to allow export, after which it may be permanently deleted. Unused credits lapse on termination.

14. Grievance Redressal

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, our Grievance Officer is Karunesh Dey (Founder & CEO), ALTRUIX DIGITAL PRIVATE LIMITED, B-36, 1st Floor, Sector-10, Noida, Uttar Pradesh – 201301, India. Email: hello@sahodalabs.com. The Grievance Officer will acknowledge your complaint within twenty-four (24) hours and endeavour to resolve it within fifteen (15) days of receipt.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. The parties shall first attempt to resolve any dispute amicably within thirty (30) days of written notice. Failing amicable resolution, any dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator. The seat and venue of arbitration shall be Noida, Uttar Pradesh, and the language shall be English. Subject to this, the courts at Noida, Uttar Pradesh shall have exclusive jurisdiction.

16. Changes to these Terms

We may amend these Terms from time to time. Where changes are material, we will notify registered users by email or in-product notice at least fifteen (15) days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance.
